1. Terms & Conditions
These Terms & Conditions govern your use of the AMEN platform and services. By accessing or using AMEN (website or services), you accept these terms in full.
1.1 Acceptance of Terms
You must agree to these Terms before using the platform. If you disagree, do not use AMEN’s services.
1.2 Eligibility
Membership is for business individuals or entities. You must be at least 18 years old and legally capable of entering contracts under Ugandan law.
1.3 Membership & Accounts
- Account Accuracy: You must provide complete and truthful business and contact information when registering. Keep this information up-to-date.
- Account Security: You are responsible for safeguarding your login credentials. Do not share your account or allow others to use it. Notify AMEN immediately if you suspect unauthorized access.
- One Account per Member: You must not create multiple accounts or impersonate another person or business. False or fraudulent registrations are prohibited.
- Verification and Termination: AMEN may verify any information you provide. We reserve the right to suspend or terminate accounts that violate these Terms or appear fraudulent, without refund of fees.
1.4 Membership Fees & Subscriptions
- Pricing: AMEN offers three tiers: Access, Standard, and Premium (with annual fees of USD 50, 150, and 250, respectively, or the equivalent in local currency).
- Billing: Fees are billed yearly by default unless stated otherwise.
- No Refunds: Fees are non-refundable unless AMEN explicitly agrees in writing.
- Changes to Pricing: AMEN may change fees or benefits (e.g., introduce new features or adjust renewal rates). Significant changes will be announced in advance.
- Tier Benefits: Premium members receive extra services (e.g., international trade support, visa recommendation letters). Access to some services depends on membership tier.
- Payment: You must pay fees on time. Late or unpaid fees may result in account suspension.
1.5 Use of the Platform
- Permitted Use: Use AMEN only for lawful business networking, training, trade facilitation, and related purposes.
- Prohibited Conduct: You agree not to:
- Use the platform for any unlawful purpose or in violation of any laws or regulations.
- Post fraudulent, false, or misleading information.
- Harass, exploit, defraud, or harm other members or AMEN staff.
- Circumvent or disable platform security (such as hacking, scraping, or reverse-engineering).
- Reproduce, modify, or distribute AMEN’s content without permission.
- Member Content: You retain ownership of content you create (profiles, posts, etc.). By posting, you grant AMEN a license to use and display it on the platform. AMEN is not responsible for any member’s content or statements. Use your judgment before relying on other members’ information.
1.6 Events & Third-Party Services
- Partner Events & Services: AMEN organizes events, trainings, and trade missions, often with third-party partners (venues, trainers, travel agencies, visa services, etc.).
- No Agency: Third-party partners are independent. AMEN is not their agent or guarantor. Any contracts, payments, or disputes with them are between you and that third party.
- No Endorsement: References or recommendations (e.g., to a supplier or visa agent) are for convenience and not an endorsement. Do your own due diligence.
- Limit of Liability: AMEN is not liable for any loss or damage resulting from third-party services or offers. We do not control or guarantee their performance.
1.7 AI-Assisted Services
- AI Tools: Some features (profile organization, business recommendations, content suggestions) may use artificial intelligence.
- Advisory Only: AI outputs are suggestions, not guaranteed solutions. AMEN makes no warranty about AI accuracy or completeness. You should verify critical information with human experts or your own research.
- No Substitution: AI tools do not replace professional advice. Always exercise your own judgment when making business decisions.
1.8 No Guarantees (Disclaimer of Results)
- No Guarantee of Success: Membership or participation does not guarantee business success. AMEN provides a platform and tools, but results (sales, partnerships, funding, visas, etc.) depend on many factors beyond our control.
- No Warranty: AMEN services are provided “as is.” We disclaim all warranties, express or implied (e.g., merchantability or fitness for a particular purpose).
- Factors Outside Control: Events outcomes (such as visa approvals, trade deals) depend on external authorities and individual circumstances. AMEN is not liable for outcomes of applications or market activities.
1.9 Limitation of Liability
- Limited Liability: To the fullest extent allowed by law, AMEN (including its officers, directors, employees, and affiliates) is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
- Cap on Damages: AMEN’s total liability for any claim related to the platform is limited to the total membership fees you paid in the 12 months before the claim.
- Exclusions: This limitation does not apply to liability for death or personal injury caused by AMEN’s negligence, or for fraud or willful misconduct. Nothing in these Terms excludes legal obligations that cannot legally be limited or excluded.
1.10 Indemnification
You agree to indemnify and hold AMEN and its affiliates harmless from any claims, losses, damages, or expenses (including legal fees) arising out of:
- Your breach of these Terms or misrepresentation.
- Your negligence or willful misconduct.
- Your interactions with other members or third parties (e.g., if you engage in a deal and a dispute arises, you must handle it; AMEN is not responsible).
1.11 Account Suspension & Termination
- Breach: If you violate these Terms (or applicable law), AMEN may suspend or permanently terminate your account without notice, at its discretion.
- Other Reasons: AMEN may also suspend access during security incidents or system maintenance.
- Effect of Termination: Upon termination, your access to the platform and data will be cut off. AMEN may delete or archive your account and content. Membership fees are typically non-refundable in this event (unless specified otherwise by AMEN).
1.12 Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of United Arab Emirates.
- Jurisdiction: Any legal disputes will be resolved in the courts of United Arab Emirates (or through arbitration in United Arab Emirates, at AMEN’s discretion). By using the platform, you consent to this jurisdiction.
- Severability: If any provision is held unenforceable, the remainder will still apply. If any term is deemed invalid by a court, the parties will negotiate a valid term as similar as possible.
1.13 Changes to Terms
AMEN may revise these Terms periodically (e.g., to reflect new laws or services). We will notify members of major changes (via email or platform notice). Continued use after changes means you accept the new Terms. If you disagree with the updates, you should stop using the platform.
1.14 Entire Agreement
These Terms (together with the Privacy Policy and any other AMEN policies) constitute the entire agreement between you and AMEN regarding your use of the platform. They supersede any prior agreements or promises.
